Terms of Service — Classified Ad Placement

Welcome to Practice Directions. These Terms of Service (“Terms”) govern your purchase and use of classified ad placement services at practicedirections.com. By purchasing an ad placement, you agree to these Terms.

1. Who We Are

Practice Directions is operated by C S Young Consulting, LLC (DBA Practice Directions), a limited liability company based in Bucyrus, Ohio. In these Terms, “we,” “us,” and “our” refer to Practice Directions. “You” and “your” refer to the person or entity purchasing ad placement.

2. What You’re Buying

We offer two classified ad products:

  • FSBO Practice Sale Listing — a 90-day classified ad for a dental practice for sale. Includes a bundled PracticEstimate educational price range report as a free bonus.
  • Associate Opportunity Listing — a 90-day classified ad for a dental associate opportunity.

Both products display on practicedirections.com and are subject to the recurring-charge terms in Section 4.

3. The PracticEstimate Report (FSBO Only)

The PracticEstimate report is a free educational bonus included with FSBO listings. It is not a required part of the product and does not affect the ad placement itself.

The PracticEstimate report is educational information only. It is NOT:

  • A formal valuation
  • An appraisal
  • An opinion of value
  • Financial, legal, tax, or brokerage advice
  • A guarantee that your practice will sell at any particular price

The report is based on general dental transaction data patterns and the P&L information you provide. The actual sale price of any specific practice depends on many factors the report cannot fully model, including location dynamics, equipment condition, real estate structure, market timing, buyer pool depth, and negotiation.

You are solely responsible for any decisions you make based on the PracticEstimate report. Before making significant financial or transactional decisions, we recommend you consult qualified professionals — for most sellers, that includes at some point an attorney, CPA, and financial planner.

Because the PracticEstimate is a free bonus, its accuracy or availability is not a basis for refund of your ad placement.

4. Recurring Charges — Auto-Renewal

Your listing auto-renews every 90 days at your locked-in rate until you cancel.

  • Your card on file is charged on the renewal date for the next 90-day term.
  • We will send you TWO reminder emails before every renewal charge: one 7 days before, one 2 days before. Each reminder includes the exact renewal date, the amount, and a one-click cancel link that stays active through your renewal date.
  • You may cancel at any time by clicking the cancel link in any reminder email, emailing corey@practicedirections.com, or (once available) using the cancel button in your account dashboard. Any cancellation received before the renewal charge processes stops the next charge.
  • Cancelling stops future renewals. Your current ad remains live through the end of the term you have already paid for.
  • If a renewal payment fails (expired card, insufficient funds, etc.), your ad remains live during a 7-day grace period while you update your card. If payment is not resolved within 7 days, your ad is removed and the subscription ends.
  • Founding-rate sellers who maintain continuous listings keep their founding rate for all renewals. If your listing lapses and you return later, renewals will be at then-current rack rates.

By purchasing an ad, you expressly authorize Practice Directions to charge your payment method the applicable renewal fee every 90 days until you cancel.

5. Your Ad — What You Represent

By placing an ad, you represent and warrant that:

  • You have the legal right to sell the practice (FSBO) or offer the associate opportunity you are advertising
  • All information in your ad is accurate to the best of your knowledge
  • The P&L data you submit for the PracticEstimate report (FSBO only) is truthful and reasonably complete
  • Your ad complies with all applicable laws, including advertising laws and dental board rules in your state

You are solely responsible for the contents of your ad and for the accuracy of information you provide to buyers or applicants. Practice Directions does not verify ad contents, financial claims, or seller/employer representations.

6. Our Role — What We Are and Aren’t

Practice Directions provides an advertising platform and an educational analysis tool.

We are NOT:

  • Your broker, agent, or recruiter
  • A party to any transaction between you and a buyer or applicant
  • Responsible for negotiations, purchase agreements, employment agreements, financing, closing, or any aspect of an actual sale or hire
  • Entitled to any commission, finder’s fee, or percentage of your sale price or associate’s compensation

There is no listing agreement or representation agreement. Your ad placement fee is a flat charge per 90-day term. What happens between you and a buyer or applicant is between you and them.

7. The PracticEstimate Priced Badge (FSBO Only)

If your FSBO ad’s asking price is set within the range shown in your PracticEstimate report, your ad displays a PracticEstimate Priced badge visible to buyers browsing the classifieds. The badge indicates the asking price has been checked against a real analysis based on the P&L data you provided.

If you change your asking price so it falls outside the PracticEstimate range, the badge is removed until the price is brought back within range. The badge is a signal to buyers, not a warranty of any kind. It does not represent an appraisal, valuation, or endorsement of any specific price.

8. Ad Duration and Removal

  • Each ad term runs for 90 days from the date payment is confirmed.
  • You may request early removal of your ad at any time by emailing corey@practicedirections.com. Early removal does not entitle you to a partial refund and does not cancel future auto-renewals — you must also cancel your recurring charge separately.
  • We reserve the right to remove any ad, without refund, if it contains false or misleading information, violates any law or dental board rule, or violates these Terms. In most cases we will contact you first and give you a chance to correct the issue.
  • At the end of each 90-day term, your subscription renews automatically and your ad continues for the next term, unless you cancel (see Section 4).

9. Payment

  • Payments are processed by Stripe. We do not store your payment card information.
  • All fees are shown in US dollars.
  • Refunds are governed by our Refund Policy.
  • Chargebacks initiated without first contacting us may result in denial of future services.

10. Confidentiality

The information you submit to us (P&L data, practice details, contact information) is used to generate your PracticEstimate report (FSBO only) and to display your ad. We do not sell your personal or practice financial data to third parties.

Note: information you choose to display in your ad is public. Do not include information in your ad copy that you do not want buyers or applicants to see.

11. Intellectual Property

The PracticEstimate methodology, report format, and the practicedirections.com platform are the intellectual property of C S Young Consulting, LLC. Your report is provided for your personal use in connection with the sale of your practice. Redistribution or resale of the report or its underlying methodology is prohibited.

12. Limitation of Liability

To the fullest extent permitted by law, our total liability to you for any claim arising from these Terms, your ad placement, or your PracticEstimate report is limited to the amount you paid us for your most recent 90-day ad term.

We are not liable for:

  • The sale outcome of your practice or the hiring outcome of your associate opportunity
  • Any decision you make based on the PracticEstimate report
  • Any interaction, negotiation, agreement, dispute, or transaction between you and any buyer or applicant
  • Any indirect, incidental, or consequential damages

13. Indemnification

You agree to indemnify and hold C S Young Consulting, LLC harmless from any claims, damages, or expenses arising from your ad content, your representations to buyers or applicants, your P&L submissions, or your transactions with any buyer or applicant.

14. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top will reflect the most recent version. Continued use of our services after an update constitutes acceptance of the updated Terms. For ad placements already purchased, the Terms in effect on the purchase date govern that placement through the end of its current 90-day term.

15. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Ohio.
