Welcome to Practice Directions. These Terms of Service (“Terms”) govern your purchase and use of assisted listing services at practicedirections.com. By purchasing a listing service, you agree to these Terms.
These Terms apply to owner-facing practice-sale and associate-opportunity listing services. Buyer-advisory engagements are governed by their separate engagement agreements.
1. Who We Are
Practice Directions is operated by C S Young Consulting, LLC, doing business as Practice Directions, a limited liability company based in Bucyrus, Ohio.
In these Terms, “we,” “us,” and “our” refer to Practice Directions. “You” and “your” refer to the person or entity purchasing the listing service.
2. What You’re Buying
We offer two assisted listing products.
FSBO Practice Sale Listing
Assisted preparation and publication of a classified listing for a dental practice offered for sale by owner (FSBO). Includes a PracticEstimate educational price-range report as a free bonus.
- Initial fee: $495 founding / $750 standard.
- Renewal: $150 for each additional three calendar months.
Associate Opportunity Listing
Assisted preparation and publication of a classified listing for a dental associate opportunity.
- Initial fee: $295 founding / $395 standard.
- Renewal: $125 for each additional three calendar months.
Associate positions may be conventional employment roles or include a genuine ownership pathway. We do not create or imply ownership terms that you have not provided.
Preparation, marketing, and revisions
The service includes assisted listing preparation, publication, and marketing and distribution support. It does not guarantee a particular number of inquiries, a qualified buyer or applicant, a sale, or a successful hire.
Each package includes one consolidated prepublication revision round covering the public ad and, where applicable, the Confidential Practice Summary. Corrections to our errors do not count against this allowance. Your final approval remains required before publication.
During each paid term, routine factual maintenance is included: asking-price changes, availability or status changes, contact corrections, and straightforward edits.
Substantial rewrites, a changed offering, new financial analysis, or a PracticEstimate rerun are scoped separately before work begins, with no automatic additional charge.
Founding eligibility
Founding initial pricing is available to Ohio sellers whose payment is received during the initial launch offer. Eligibility is determined when payment is received; there is no first-ten quota and no announced closing date.
The founding discount applies only to the initial package, not renewal fees.
Both products are subject to the recurring-charge terms in Section 4 and the listing-period terms in Section 8.
3. The PracticEstimate Report — FSBO Only
The PracticEstimate report is a free educational bonus included with FSBO listings. It is not a required part of the product and does not affect the ad placement itself.
The report is educational information only. It is not:
- A formal valuation.
- An appraisal.
- An opinion of value.
- Financial, legal, tax, or brokerage advice.
- A guarantee that your practice will sell at any particular price.
The report is based on general dental transaction data patterns and the profit-and-loss information you provide.
The actual sale price of a practice depends on many factors the report cannot fully model, including location dynamics, equipment condition, real estate structure, market timing, buyer pool depth, and negotiation.
You are solely responsible for decisions you make based on the report. Before making significant financial or transactional decisions, we recommend consulting qualified professionals, including an attorney, CPA, and financial planner as appropriate.
The report’s accuracy or availability does not create a separate refund entitlement for ad placement. This does not restrict your right to a full refund before publication under our Refund Policy.
4. Recurring Charges — Automatic Renewal
Your listing automatically renews for additional three-calendar-month periods unless you cancel before the renewal charge processes.
Each renewal costs:
- $150 for an FSBO listing.
- $125 for an associate opportunity listing.
Renewal dates follow your publication-based paid periods, not your initial payment date. The first renewal charge is three calendar months after publication; there is no additional charge at publication.
We will email reminders seven days and two days before each renewal charge. Each reminder states the renewal amount and date.
You may cancel by replying to a reminder or emailing corey@practicedirections.com. Cancellation received before the renewal charge processes stops that charge.
Cancelling renewal only leaves your listing live through the current paid end date.
If renewal payment fails, we email you instructions for resolving the payment. Your listing remains live during a seven-day grace period. If payment remains unresolved after that period, the listing is removed and the subscription ends.
By purchasing, you expressly authorize Practice Directions to charge the applicable renewal fee to your payment method every three calendar months until you cancel.
5. Your Ad — What You Represent
By placing an ad, you represent and warrant that:
- You have the legal right to sell the practice or offer the associate opportunity you are advertising.
- All information in your ad is accurate to the best of your knowledge.
- The profit-and-loss data you submit for PracticEstimate is truthful and reasonably complete.
- Your ad complies with applicable laws, including advertising laws and dental board rules in your state.
You are solely responsible for the contents of your ad and for the accuracy of information you provide to buyers or applicants.
Our preparation and consistency checks do not independently verify seller or employer representations, financial claims, or ad contents.
You approve the exact public ad and applicable summary before use and must report material corrections or updates.
6. Our Role — What We Are and Aren’t
Under this listing service, Practice Directions provides assisted listing preparation, an advertising platform, marketing and distribution support, and an educational price-range report for FSBO listings.
Under this service, we are not:
- Your broker, agent, or recruiter.
- A party to a transaction between you and a buyer or applicant.
- Responsible for negotiations, purchase agreements, employment agreements, financing, closing, or any actual sale or hire.
- Entitled to a commission, finder’s fee, or percentage of your sale price or an associate’s compensation.
This is a service/purchase agreement, not a brokerage listing or representation agreement. Your ad placement fee is a flat charge per three-calendar-month term.
Transactions between you and a buyer or applicant are between you and them.
Practice Directions also offers separate buyer-advisory services. We do not represent both buyer and seller in the same transaction. Any proposed advisory engagement must respect existing client relationships and applicable conflict boundaries.
7. PracticEstimate Pricing Designations — FSBO Only
Practice Directions compares your approved asking price with the educational price range in your PracticEstimate report.
- “PracticEstimate Priced” indicates that the asking price falls within the report range, including its low and high endpoints.
- “Priced to Sell” indicates that the asking price is below the report’s low endpoint.
No pricing designation is displayed when the asking price is above the range or when an asking price or usable report range is unavailable.
The applicable designation is included in the listing content you approve before publication. If the asking price changes or a revised report changes the range, Practice Directions reviews the comparison and updates or removes the designation as appropriate.
These designations describe the relationship between the asking price and an educational analysis based on information you supplied. They do not independently verify your financial information and are not an appraisal, formal valuation, warranty, investment recommendation, or endorsement of a specific price.
“Priced to Sell” does not establish that a practice is a bargain, explain why it is priced below the range, or guarantee a sale or faster transaction.
8. Listing Duration, Withdrawal, and Removal
Full payment is required before seller-case setup and listing preparation begin.
Your initial paid listing period begins when your approved listing goes live on practicedirections.com and continues for three calendar months.
Preparation, document collection, and approval time do not reduce that period. We will confirm your publication date and paid end date. No specific preparation or publication turnaround is promised.
Withdrawal
You may request withdrawal or removal at any time by emailing corey@practicedirections.com.
A withdrawal request triggers both listing removal and cancellation of future renewal charges; no separate billing-cancellation request is required.
Withdrawal after publication does not entitle you to a prorated refund.
Platform removal
We reserve the right to remove an ad, without refund, if it contains false or misleading information, violates a law or dental board rule, or violates these Terms. In most cases, we will contact you first and give you a chance to correct the issue.
If Practice Directions removes a listing for one of these reasons, future renewal charges stop when the listing is removed.
Removal does not itself create a refund entitlement. Existing refund provisions and billing-error corrections remain applicable.
Renewal and re-entry
At the end of each three-calendar-month paid period, your listing renews automatically unless you cancel under Section 4.
Re-entry after lapse or withdrawal requires owner review before payment. Practice Directions will confirm whether existing listing content and approvals remain usable, identify needed updates, and approve the applicable scope and price.
No automatic re-entry fee, penalty, or founding-price entitlement applies. Existing paid-through rights remain unchanged.
9. Payment
- Payments are processed by Stripe. We do not store your payment-card information.
- All fees are shown in US dollars.
- Refunds are governed by our Refund Policy.
- Chargebacks initiated without first contacting us may result in denial of future services.
10. Confidentiality
Information you submit is used to prepare and provide your listing service, including PracticEstimate where applicable, the public ad, and approved confidential buyer materials.
We do not sell your personal or practice financial data to third parties.
Only the ad content you approve for public display is authorized for publication. That content is publicly accessible.
Uploading or submitting a file does not by itself authorize disclosure to a buyer. Confidential materials may be released only within your recorded permission, after the applicable buyer NDA has been verified and Corey has authorized release.
Private and internal materials remain excluded. Existing confidentiality restrictions and release checks continue to apply.
Signing the service agreement does not by itself designate every upload as buyer-shareable or approve an unfinished ad or summary.
The separate material-designation and content/sharing approval process remains required. The existing buyer NDA and seller custody/release instruments are not amended by these Terms.
11. Intellectual Property
The PracticEstimate methodology, report format, and practicedirections.com platform are the intellectual property of C S Young Consulting, LLC.
Your report is provided for use in connection with selling your own practice. You may share the complete, unaltered report with prospective buyers and professional advisers for that transaction.
This permission does not authorize report resale, unrelated republication, or reuse of Practice Directions’ methodology.
It does not grant direct access to confidential folders or override applicable confidentiality restrictions.
12. Limitation of Liability
To the fullest extent permitted by law, our total liability to you for any claim arising from these Terms, your ad placement, or your PracticEstimate report is limited to the amount you paid us for your most recent three-calendar-month ad term.
We are not liable for:
- The sale outcome of your practice or the hiring outcome of your associate opportunity.
- Any decision you make based on the PracticEstimate report.
- Any interaction, negotiation, agreement, dispute, or transaction between you and a buyer or applicant.
- Any indirect, incidental, or consequential damages.
13. Indemnification
You agree to indemnify and hold C S Young Consulting, LLC harmless from claims, damages, or expenses arising from your ad content, your representations to buyers or applicants, your profit-and-loss submissions, or your transactions with a buyer or applicant.
14. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date will reflect the most recent version.
Continued use of our services after an update constitutes acceptance of the updated Terms.
For ad placements already purchased, the Terms in effect on the purchase date govern that placement through the end of its current three-calendar-month term.
Dispute Resolution
If you have a concern about the service, email corey@practicedirections.com with the issue and requested resolution.
Corey will review the relevant payment, approval, and delivery records and respond with a proposed resolution.
This process does not impose a mandatory waiting period or restrict either party’s existing legal rights. Mediation may be used if both parties agree. No mandatory arbitration is introduced.
15. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.
Any dispute arising from these Terms will be resolved in the state or federal courts located in Ohio.
